1. Status of these terms

These public terms describe the general framework under which FBA INTERNATIONAL FINANCE LIMITED, trading as AIPower Pay, may provide or arrange payment-related services. They do not by themselves activate processing or replace a signed merchant agreement, service schedule, pricing schedule, reserve schedule or country addendum.

If a signed agreement incorporates these terms, the signed agreement and its specific schedules prevail to the extent of any conflict.

2. Application, KYB/KYC and approval

You must provide complete and accurate company, ownership, representative, product, website, fulfilment, banking and expected-transaction information. We use Sumsub for aspects of KYB/KYC and may conduct sanctions, industry, website and risk review.

We may request updates or supporting records before or after activation. Approval is specific to the agreed entity, business model, websites, countries, currencies and payment methods. It is not transferable.

3. Services and availability

Depending on the approved setup, services may include card and wallet acceptance, local payment methods, hosted or embedded checkout, Payment Links, API or S2S connectivity, subscriptions, routing, 3DS strategy, transaction monitoring, refunds, dispute support, platform collection and split payments.

Availability remains subject to technical configuration, market, provider and payment-method rules. An issuer or other payment participant determines its own authentication and authorisation outcomes. We do not guarantee uninterrupted availability or a particular acceptance rate.

4. Merchant responsibilities

You are responsible for your goods and services, customer contract, lawful marketing, product claims, pricing, taxes, delivery, customer support, cancellation and refund policy, and the accuracy of information provided to us. You must use the service only for the approved business.

You must protect credentials and systems, follow integration instructions, prevent duplicate or unauthorised submissions, keep order and fulfilment evidence, and notify us promptly of security incidents, suspected fraud and material business changes.

5. Fees, reserves and adjustments

Processing fees, currency conversion, refunds, disputes, chargebacks, reserves, minimums and other commercial terms are those in the applicable signed pricing and reserve schedules. The website does not set a universal rate or reserve percentage.

Where the agreement permits, amounts owed may be deducted from settlements, balances or reserves. We will describe the applicable calculation and reporting in the contracted materials.

6. Settlement

Our standard commercial description is T+3 settlement in USD, subject to the merchant agreement’s definition of T, cutoff times, business days, risk conditions, reserves, adjustments and receiving-bank processing. A merchant or platform may agree a longer cycle.

Settlement timing is not a guarantee that funds will reach every receiving account at a fixed time. We may delay or withhold amounts where the agreement, law, sanctions, fraud concerns, provider requirements, negative balances, disputes or investigations permit.

7. Refunds, disputes and chargebacks

Approved merchants may issue full or partial refunds through the available merchant tools. Refunds must relate to an original transaction and must not be used to send funds to a different payment instrument or person.

The merchant remains responsible for product and fulfilment evidence and for submitting dispute evidence by the stated deadline. Ethoca and RDR alerts may be used where available, but they do not eliminate every dispute or guarantee recovery. Chargebacks, network assessments and related costs are allocated under the signed agreement.

8. Platforms and sellers

For an approved platform model, AIPower Pay may support platform collection, automatic split allocation, platform commission or service fees, and either direct seller settlement or settlement to the platform for onward payment, as contracted.

AIPower Pay performs the agreed sub-merchant review. USD seller settlements may be subject to an agreed cycle and a minimum settlement amount of USD 1,000. Where a refund or dispute affects funds already allocated, responsibility and recovery follow the platform agreement; merchants provide transaction evidence and the platform and merchant bear allocated amounts as contracted.

9. Security, PCI DSS and data

Each party must follow its applicable security and PCI DSS responsibilities. Merchants must not store card security codes after authorisation or handle sensitive card data outside an approved integration. Tokens and payment references must be used only for authorised purposes.

Personal data is handled under our Privacy Policy, applicable data terms and the roles of payment-chain participants. Confidential information must be protected and used only to perform or receive the services.

10. Suspension and termination

Either party may terminate according to the signed agreement. We may restrict or suspend services where reasonably necessary for security, suspected fraud, prohibited activity, provider or regulatory requirements, non-payment, inaccurate information or material breach. Notice will be given where lawful and reasonably practicable.

Termination does not remove obligations relating to completed transactions, refunds, chargebacks, reserves, confidentiality, data, fees or legal claims.

11. Responsibility and liability

Each party is responsible for the matters assigned to it in the signed agreement. Service warranties, indemnities, exclusions and liability limits are those stated in that agreement. Nothing excludes liability that cannot legally be excluded.

AIPower Pay is not the seller of a merchant’s goods or services and is not responsible for the merchant’s product quality, fulfilment, customer promises or tax treatment.

12. Law, changes and contact

Unless a signed agreement states otherwise, these terms are governed by Hong Kong law and Hong Kong courts have non-exclusive jurisdiction, without removing mandatory rights or another court’s lawful competence.

We may update these public terms prospectively. Material changes to an incorporated agreement will be handled as that agreement or applicable law requires. Contact [email protected].
